2017 - June

SCA's hygiene business becomes Essity after listing on NASDAQ Stockholm.

Essity, the leading global hygiene and health company, was listed on Nasdaq Stockholm June 15, 2017.

The listing of Essity follows the decision to split the SCA Group into two independent listed companies; the forest products company SCA, and the leading global health and hygiene company Essity.

Hygiene and health are firm features in Essity's vision and strategy which highlights the evolving make-up of the organisation.

The Essity name is set to be built on a foundation of both hygiene, health and medical products.

Essity's vision is to be dedicated to improving well-being through leading health and hygiene solutions, while the company's mission is to sustainably develop, produce, market and sell value-added hygiene and health products and services.

The opportunity to diversify into new product groups has already been kick-started following the recent acquisition of BSN medical, a leading medical solutions company.

2017 BSN medical – An SCA Company

In April 2017, BSN medical was acquired by SCA, a leading global hygiene and forest products company that sustainably develops, produces and sells personal care, tissue and forest products. Through the recently acquired company BSN medical, the Group offer products within wound care, compression therapy and orthopedics. Sales are conducted in approximately 150 countries under many strong brands, including the leading global brands TENA and Tork, and other brands, such as Leukoplast, Libero, Libresse, Lotus, Nosotras, Saba, Tempo, Vinda and Zewa. As Europe’s largest private forest owner, SCA places considerable emphasis on sustainable forest management. In 2016, the Group had approximately 46,000 employees and sales amounted to approximately SEK 117bn (EUR 12.4bn). SCA was founded in 1929, has its headquarters in Stockholm, Sweden, and is listed on Nasdaq Stockholm. SCA is dedicated to improving well-being through leading hygiene and health solutions.

The purchase price for the shares amounts to EUR 1,400m and takeover of net debt to approximately EUR 1,340m1).

BSN medical is included in SCA’s Personal Care business area. Together with SCA’s business unit Incontinence Care, BSN medical forms the new business unit Health and Medical Solutions, led by Margareta Lehmann.

On April 5, 2017, the company’s shareholders voted in favor of the Board of Director’s proposal to split the Group into two listed companies. One of these will continue to operate as SCA, an efficient and well-invested forest products company that will include the forest products operations and all forest land currently owned by the Group. SCA’s hygiene business, including the current business areas of Personal Care (including the recently acquired BSN medical) and Tissue will become a leading global hygiene and health company operating under the name Essity.

The split of the company will be carried out at a suitable time following completion of the listing process, but no later than in the second half of 2017.

2006 – 2016 Owned by Private Equity

In 2012 the company was acquired by the private equity group EQT VI. 

Prior to EQT, BSN medical was acquired in 2006 by Montagu Private Equity.

2001 – 2006 Joint Venture between Beiersdorf and Smith & Nephew

In April 2001, BSN medical was established as a joint venture between Beiersdorf AG, Hamburg, and Smith & Nephew plc, London due to complementary geographic and channel strengths in the areas of wound care, fracture management, physiotherapy and compression therapy. Since then, BSN medical has matured as a fully independent global player in the health care market. With successful strategic acquisitions, BSN further developed global independency and upgraded its portfolio through highly innovative product launches (e.g. Advanced Wound Care, Lymphology) and integrated therapy solutions.
